1. Parties

This End-User License Agreement (“EULA”) is between AwardSofts LLC (“Licensor”, “AwardSofts”, “we”, “us”) and the entity or individual that acquires or uses the software (“Licensee”, “you”). If you accept on behalf of a company, you represent you are authorized to bind that company.

2. Scope; BYOL Activation

2.1 Software. “Software” means Falcon Secure Messenger server components, configuration files, and accompanying documentation provided in the AMI.

2.2 BYOL. This is Bring‑Your‑Own‑License. You must supply a valid AwardSofts license key (or activation token) to unlock production features.

2.3 Tenant Registration & Subdomain. During initial setup, you will provide a Company Keyword (alphanumeric only). Upon activation, an FQDN such as https://<company>.aws.falconm.app may be provisioned for your tenant.

3. License Grant; Restrictions

3.1 Grant. Subject to payment (if applicable) and compliance with this EULA, AwardSofts grants you a non‑exclusive, non‑transferable license to install and run the Software on AWS EC2 instances you control, for your internal business purposes during the license term indicated in your Order/License Key.

3.2 Limits. Your license may be limited by term, instances/nodes, users, features/editions, or environment as stated in your Order/License Key.

3.3 Restrictions. You shall not: (a) sublicense, rent, or provide the Software as a service to third parties (except to your Affiliates and users under your control); (b) reverse engineer except as permitted by law; (c) remove or alter proprietary notices; (d) use the Software to develop or train competing products; (e) publish benchmarks without our prior written consent.

3.4 Open Source. Open‑source components are governed by their own licenses.

4. Support; Updates

4.1 Support. If you purchased a support plan or were granted a trial, AwardSofts will provide support per the applicable plan.

4.2 Updates. Updates and patches may be provided. Your right to use them is included while your license and support are active.

5. Security; Data; Privacy

5.1 Defaults. The AMI is configured with secure defaults. Databases and internal services bind to localhost by default.

5.2 Customer Data. We do not access or process your end‑user content by default. Limited, revocable access may be granted for support purposes only.

5.3 Telemetry. If anonymized telemetry is enabled, it excludes personal content. You may disable telemetry in settings.

5.4 Compliance. You are responsible for ensuring your use complies with applicable laws and regulations.

6. Confidentiality

Each party will protect the other party’s Confidential Information with reasonable care and use it only to perform under this EULA. Exclusions apply for public information, independently developed information, and information rightfully obtained from a third party.

7. Intellectual Property

The Software is licensed, not sold. AwardSofts and its licensors retain all rights, title, and interest, including all intellectual property rights.

8. Fees; Taxes (BYOL)

For BYOL, fees (if any) are paid directly to AwardSofts under your Order. Prices exclude taxes; you are responsible for applicable taxes except those on our income.

9. Warranties; Disclaimers

9.1 Limited Warranty. For 30 days from activation, the Software will substantially conform to documentation. Your exclusive remedy is repair, replacement, or refund of prepaid license fees for the affected term, at our option.

9.2 Disclaimer. EXCEPT AS EXPRESSLY STATED, THE SOFTWARE AND SERVICES ARE PROVIDED “AS IS”. WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

10. Indemnity

We will defend and indemnify you against claims that the unmodified Software infringes a third‑party IP right, subject to prompt notice, control of defense, and cooperation. Exclusions apply for combinations not supplied by us, unauthorized modifications, or use contrary to documentation.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL; (b) EACH PARTY’S TOTAL LIABILITY IS CAPPED AT AMOUNTS PAID OR PAYABLE TO AWARDSOFTS FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM (OR USD 5,000 IF NO FEES WERE PAID). Nothing limits liability for death/personal injury caused by negligence, fraud, or willful misconduct.

12. Term; Termination; Effect

This EULA starts on acceptance and continues for the license term. Either party may terminate for uncured material breach after 30 days’ notice; we may suspend/terminate for unlawful or harmful use. On termination/expiration, your license stops and you will uninstall/stop using the Software. Sections 6–7 and 9–16 survive.

13. Audit (Lightweight)

With 15 days’ notice, no more than once per year, we may request evidence (e.g., license keys, instance counts) to confirm compliance. Remote, records‑based only.

14. Export; Sanctions; Government Use

You will comply with applicable export, re‑export, and sanctions laws. The Software is “commercial computer software” and “commercial computer software documentation”.

15. Governing Law; Venue

This EULA is governed by the laws of the United Arab Emirates; venue is the Courts of Dubai (or, by mutual agreement, DIFC Courts). The U.N. CISG does not apply.

16. Mobile Apps & QR Provisioning

After completing registration via https://<PUBLIC-IP> or your tenant domain https://<company>.aws.falconm.app, and obtaining a valid license, the dashboard displays a QR code for Falcon Mobile apps. Install the mobile app and scan this QR code to provision the client to your own server:

• Android (Google Play): Falcon Secure Messenger
• iOS (App Store): Falcon Secure Messenger

17. Miscellaneous

Assignment requires the other party’s consent (not unreasonably withheld), except to an Affiliate or in a merger/acquisition. Notices must be in writing. If any provision is unenforceable, the remainder stays in effect. This EULA plus your Order/License Key is the entire agreement regarding the Software.
